1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of RapidCart, available at rapidcart.app (the "Service"), operated by RapidCart ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. The Service
RapidCart lets sellers create and publish a public online store, add products in a built-in editor, accept orders, and receive payments via Razorpay. We may add, change, or remove features at any time.
3. Eligibility & Accounts
- You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into a binding contract.
- You must provide accurate account information and keep it updated.
- You are responsible for all activity under your account, including keeping your password and OTPs confidential.
- Each account is limited to one store, created at signup. Once deleted, a new store cannot be created.
4. Seller Responsibilities
If you operate a store on RapidCart, you are responsible for:
- The accuracy of your product listings, prices, images, descriptions, taxes, and shipping rules.
- Fulfilling orders, communicating with buyers, and handling refunds, returns, cancellations, and disputes.
- Complying with all applicable laws, including consumer protection, tax, GST, and product-specific regulations in the regions where you sell.
- Publishing your own store policies (returns, refunds, shipping, contact information) as required by law and by payment processors.
- Acting as the data controller for your buyers' personal information and complying with applicable privacy laws.
RapidCart is not a party to the contract of sale between you and your buyers.
5. Orders & Buyers
When a buyer places an order through a RapidCart storefront, the contract is between the buyer and the seller of that store. RapidCart only provides the platform that records and routes the order. Sellers handle delivery, customer service, returns, and disputes directly.
6. Payments & Fees
- Online payments are processed by Razorpay using credentials you provide. Razorpay's own terms and fees apply.
- Cash on Delivery payments are collected by you, the seller, directly from the buyer. RapidCart does not handle these funds.
- Subscription fees, transaction fees, or add-on charges (if any) for using RapidCart will be disclosed in your account or pricing page before they apply. Fees are non-refundable except where required by law.
- You are responsible for any taxes related to your sales and to fees you pay us.
7. Your Products
You add and manage your products in RapidCart's built-in editor. You are responsible for the accuracy of your product data — names, prices, images, descriptions, and stock — and you must have the right to use and publish that content. You are responsible for keeping prices and availability up to date.
8. Acceptable Use
You agree not to use the Service to:
- Sell illegal, regulated, counterfeit, or restricted goods or services, or anything that violates applicable law or third-party rights.
- Engage in fraud, money laundering, deceptive pricing, or chargeback abuse.
- Upload or distribute content that is unlawful, infringing, defamatory, obscene, harassing, or harmful.
- Interfere with, probe, or disrupt the Service, attempt to gain unauthorized access, or reverse engineer it.
- Send spam, malware, or unsolicited messages through the Service.
- Use the Service to build a product that competes with RapidCart.
We may refuse, restrict, or remove any store, listing, or content that we believe violates these Terms or applicable law.
9. Your Content & License
You retain ownership of the content you submit to RapidCart, including product information, images, logos, and store text ("Your Content"). You grant RapidCart a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit Your Content solely as needed to operate, promote, and improve the Service.
You represent that you have all rights necessary to grant this license and that Your Content does not infringe anyone's rights.
10. Our Intellectual Property
RapidCart, including the software, branding, designs, and the "RapidCart" name and logo, is owned by us and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No other rights are granted.
11. Third-Party Services
The Service integrates with third parties such as Google (for sign-in), Razorpay, email and SMS providers, and analytics tools. These services have their own terms and privacy policies. We are not responsible for their content, availability, or practices.
12. Suspension & Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms, if we are required to by law, or to protect the Service or other users.
On termination, your storefront will be taken offline and your data will be handled as described in the Privacy Policy. Sections that by their nature should survive termination will continue to apply.
13. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted or error-free.
14. Limitation of Liability
To the maximum extent permitted by law, RapidCart and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising from your use of the Service.
Our total liability for any claim arising out of or relating to the Service is limited to the greater of (a) the amount you paid us in the twelve months before the claim or (b) INR 5,000.
15. Indemnification
You agree to defend, indemnify, and hold RapidCart harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, your products and orders, or your violation of these Terms or applicable law.
16. Governing Law
These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Any dispute arising under these Terms is subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India, except where mandatory local law provides otherwise.
17. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or in-app message and update the "Last updated" date above. Your continued use of the Service after the changes take effect means you accept the updated Terms.
